Job description
- Act as a trusted advisor to the Board of Directors and Executive Committee on corporate governance matters.
- Lead the preparation, organisation and follow-up of Board and Committee meetings (Audit, Risk, Nomination, Remuneration, etc.).
- Draft agendas, briefing papers and meeting documentation, and ensure timely distribution.
- Take accurate minutes, track action items and ensure proper execution of Board and Committee resolutions.
- Coordinate governance information flows between the Board, Executive Committee and management bodies.
- Ensure full compliance of the governance framework with Swiss corporate law (CO), FINMA regulations and internal policies.
- Oversee regulatory filings related to Board members, senior management, shareholders and statutory registers.
- Advise senior leadership on governance best practices, regulatory developments and risk-related matters.
- Organise and manage General Meetings, including shareholder resolutions, notices and statutory documentation.
- Act as the primary interface with shareholders and holding entities on governance-related matters.
- Maintain and safeguard corporate records, statutory registers, powers of attorney and signatory mandates.
- Coordinate notarisation and execution of corporate documentation.
- Work closely with Legal and Compliance to ensure governance supports regulatory alignment and business strategy.
- Oversee a centralised contract management framework in line with delegated authorities.
- Provide governance support on transactions, reorganisations and cross-border initiatives.
Required profile
- University degree in Law, Business Administration or equivalent; additional qualifications in corporate governance are an asset.
- Minimum 8–10 years of senior experience in corporate governance, legal or compliance functions, including at least 5 years within a financial institution or private bank.
- Strong knowledge of Swiss corporate and banking law (CO, FINMA) and governance standards.
- Proven experience interacting with Boards and senior executives.
- Excellent drafting skills, including minutes, resolutions and governance documentation.
- Strong organisational skills and ability to manage multiple priorities under tight deadlines.
- Excellent interpersonal and communication skills, with the ability to operate at Board level.
- Fluent in French and English; German is a plus.
- High level of integrity, discretion and professionalism.
- Autonomous, proactive and solution-oriented, with strong judgment and diplomacy.
